CORPORATE RESTRUCTURING AND INSOLVENCY

We regularly advise companies in their corporate restructuring exercises ranging from buy-back, reduction of share capital, spin-offs, demergers, voluntary liquidation and winding up of companies. With the recent enactment of the Insolvency and Bankruptcy Code, 2016 (IBC) in India, the attorneys of the firm are fully geared to advice clients on various aspects relating to their reorganisation and insolvency resolution.

The IBC is the umbrella law for insolvencies and reorganisations in India. It is a relatively new law and the provisions relating to insolvency and liquidation of corporate persons only came into force in December 2016.  The firm has been regularly advising clients on debt restructuring, asset reconstruction and schemes of arrangement under the IBC. The work also includes providing legal opinions to various stakeholders on all aspects of the IBC, preparation and submission of claims before the Insolvency Resolution Professional (IRP) issuing and defending notices under the IBC, representation before NCLTs, NCLAT and courts, preparation of petitions, settlements and compromises anddrafting and negotiating restructuring plans.
